Result of General Meeting

and

 Total Voting Rights

 

EnSilica, a leading chip maker of mixed signal ASICs (Application Specific
Integrated Circuits), announces that at the general meeting of the Company
held earlier today, all resolutions were duly passed. The results of the proxy
voting will be available on the Company's website in due course.

 

As a result of resolutions being passed today, the Placing announced on 27
February 2024 can now proceed and it is expected that Admission will become
effective and dealings in the Placing Shares will commence on AIM at 8.00 a.m.
on 20 March 2024.

 

Total Voting Rights

 

Upon Admission, the Company's issued share capital will consist of 85,005,158
ordinary shares of 0.1p ("Ordinary Shares") with one voting right each. The
Company does not hold any Ordinary Shares in treasury. Therefore, the total
number of Ordinary Shares and voting rights in the Company will be 85,005,158.
With effect from Admission, this figure may be used by shareholders in the
Company as the denominator for the calculations by which they will determine
if they are required to notify their interest in, or a change to their
interest in, the share capital of the Company under the FCA's Disclosure
Guidance and Transparency Rules.

 

Terms used but not defined in this announcement have the same meaning as set
out in the Company's announcement released at 14:24 on 27 February 2024.
